Nello VIP Creator Program — Terms & Conditions

Welcome to the Nello VIP Creator Program (the "VIP Program"), an invitation-only tier of the Nello Creator Program operated by Nello ("Nello," "we," "us," or "our") in partnership with Trybe (jointrybe.com). By participating in the VIP Program, submitting content, or accepting compensation, you ("Creator" or "you") agree to these Terms & Conditions (the "Terms"). Please read them carefully.

These Terms govern the VIP tier specifically. Where they conflict with the standard Nello Creator Program terms, these VIP Terms control for participants in this tier.

If you don't agree, don't participate. It's that simple.

1. Eligibility

The VIP Program is invitation-only. To participate, you must:

Have received a direct invitation from Nello to join the VIP Program
Be at least 18 years old
Have the legal authority to enter into this agreement
Have an active account on Trybe (jointrybe.com)
Reside in a country where Nello is legally able to make payments
Not be a current employee, contractor, or immediate family member of a Nello employee unless explicitly approved in writing

VIP status is granted at Nello's sole discretion and may be modified, downgraded to the standard 3% tier, or revoked at any time, for any reason, with written notice.

2. The VIP Offer

Eligible VIP Creators will receive five percent (5%) of qualifying Meta ad spend attributable to Creator's submitted content during the period that content is actively running as a paid advertisement on Meta platforms (including Facebook, Instagram, and any other Meta-owned ad surfaces).

This rate is exclusive to the VIP Program and represents an elevated rate above the 3% standard tier.

What "Qualifying Ad Spend" Means

"Qualifying Ad Spend" means the gross media spend Nello pays directly to Meta for ads where the Creator's submitted content (or a variation derived primarily from it) is the creative asset.

It does not include:

Production costs, agency fees, or platform fees
Spend on creative assets not derived from your submitted content
Ad spend on platforms other than Meta (e.g., TikTok, YouTube, Snapchat, programmatic)
Refunded or credited spend
Test campaigns under a threshold defined by Nello in writing

Product Priority

Nello is currently prioritizing media spend behind Supersleep and Superfocus. Content featuring these two products will, in practice, see the highest volume of qualifying ad spend during the priority period.

Content featuring other Nello products (Supercalm, Superbalance, etc.) is welcomed and eligible for the same 5% rate, but Creators should be aware that ad spend volume — and therefore total earnings — will be weighted toward Supersleep and Superfocus during the priority window. Nello may update the priority product list at any time and will communicate changes through the Trybe platform.

Attribution

Nello determines, in good faith and at its sole discretion, which ad creatives are attributable to a Creator's content. Where a piece of content is materially edited, combined with other creators' work, or remixed, Nello may reduce the attribution percentage proportionally.

Existing Refunnel Partnerships (No Double Payment)

Some Creators currently partner with Nello and receive compensation through Refunnel. To be clear: a Creator will not be paid twice for the same content.

If a piece of content is already enrolled in and earning compensation through Refunnel, that same content is not eligible to also earn the 5% Meta ad spend commission under this VIP Program through Trybe.
Each piece of submitted content can be compensated through one platform only — either Refunnel or Trybe, not both.
VIP Creators may continue to earn through Refunnel on their existing Refunnel-enrolled content and earn through this VIP Program on net-new or separately submitted content routed through Trybe.
If there is any ambiguity about which platform a given asset is enrolled under, Nello will determine the platform of record in good faith and notify the Creator. Nello's determination is final.
Attempts to enroll the same content in both programs to receive duplicate compensation are a material breach of these Terms and may result in forfeiture of unpaid earnings and removal from the VIP Program.

If you're unsure whether a specific piece of content is already enrolled through Refunnel, contact us before submitting it to Trybe.

3. Content Submission

What You Can Submit

VIP Program eligibility is limited to two types of content:

Net-new content — original videos created specifically for the VIP Program after your invitation date
Cleaned content — previously published content that has been re-rendered or re-exported to remove all platform watermarks, captions, stickers, and overlays (e.g., TikTok logos, TikTok username overlays, on-screen captions burned in by social apps)

Raw, watermarked, or platform-overlay content is not eligible for VIP Program compensation. This is because Meta requires clean creative for paid placement; we cannot run watermarked content as ads, and therefore it cannot generate qualifying ad spend.

If you submit content that requires cleanup before it can run, Nello may, at its discretion, either: (a) request that you re-submit a cleaned version, or (b) clean it internally — in which case attribution may be adjusted to reflect the production work performed by Nello.

Submission Requirements

All submitted content must:

Be free of TikTok, Instagram, or other platform watermarks, logos, captions, stickers, and overlays
Be in 1080p or higher resolution
Be submitted via the Trybe platform or another channel approved by Nello
Comply with the Nello creative brief, where one is provided
Be original work created by you, or work for which you hold all necessary rights

What You Cannot Submit

Content featuring competitor products in a comparative or branded context
Content that includes copyrighted music, footage, or assets you do not have a license to use
Content featuring third parties (other people, minors, etc.) without their documented consent
Content that makes unsubstantiated medical, health, or efficacy claims about Nello products
Content that is defamatory, misleading, discriminatory, sexually explicit, or otherwise unlawful

4. License & Usage Rights

By submitting content, you grant Nello and its affiliates a worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, distribute, and display the content for any commercial or non-commercial purpose, including but not limited to:

Paid advertising on Meta and any other platform
Organic social media posts
Website, email, retail, and packaging use
Repurposing, editing, remixing, and combining with other creative assets

This license survives termination of these Terms.

You retain ownership of the underlying content and may continue to use, post, and monetize it on your own channels.

5. Payment Terms

Reporting

Nello will report Qualifying Ad Spend and the corresponding 5% earnings on a monthly basis via the Trybe platform.

Payout Schedule

Payouts are issued monthly, within thirty (30) days following the end of the month in which the spend occurred, subject to:

A minimum payout threshold of $25 USD. Earnings below the threshold roll over to the following month.
Verification of Creator identity and tax information
Resolution of any disputed or refunded ad spend

Payment Method

Payments are made via the methods supported by Trybe (e.g., PayPal, ACH, Stripe). Creator is responsible for maintaining accurate payment information.

Taxes

Creator is solely responsible for all taxes, withholdings, and reporting obligations associated with VIP Program earnings. Nello may require completion of a W-9, W-8BEN, or equivalent tax form before issuing payment. Creators earning over the IRS reporting threshold will receive a 1099-NEC (US-based Creators) or equivalent.

6. Disclosure & FTC Compliance

If and when you post VIP Program content on your own channels, you must comply with all applicable advertising disclosure laws, including FTC guidelines. This includes clear and conspicuous disclosures (e.g., #ad, #sponsored, "paid partnership") where required.

Nello-run paid ads will include any disclosures required of the advertiser.

7. Term & Termination

These Terms remain in effect for as long as you participate in the VIP Program. Either party may terminate participation at any time, for any reason, with written notice (email or in-platform messaging is sufficient).

Nello may also, at its discretion, transition a VIP Creator to the standard 3% tier with written notice. In that case, content submitted prior to the transition date will continue to earn at 5% for as long as it runs as paid media; content submitted after the transition will earn at the standard rate.

Upon termination:

The license granted in Section 4 survives and Nello may continue using submitted content
Nello will pay out any earned, unpaid amounts above the minimum threshold within the next regular payout cycle
You will no longer be eligible to earn new Qualifying Ad Spend commission

Nello may immediately terminate participation and withhold pending payments if Creator breaches these Terms, submits fraudulent content, misrepresents rights or ownership, or engages in conduct harmful to the Nello brand.

8. Representations & Warranties

By submitting content, you represent and warrant that:

You are the sole creator and owner of the content, or have all necessary rights and licenses
The content does not infringe any third-party rights, including copyright, trademark, publicity, or privacy rights
All individuals appearing in the content have consented to its use as described in these Terms
All claims made in the content about Nello products are truthful and substantiated to your knowledge
You will indemnify and hold Nello harmless from any claims arising from a breach of these representations

9. Independent Contractor

Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Creator and Nello. Creator participates as an independent contractor.

10. Confidentiality

Performance data, ad spend figures, internal briefs, the existence and terms of your VIP rate, and any non-public information shared with you through the VIP Program are confidential. You may not share them publicly or with third parties (including other creators) without Nello's written consent.

This confidentiality obligation specifically includes the 5% VIP rate, which is not publicly offered and is not to be discussed with creators on the standard tier.

11. Disclaimers

The VIP Program is provided "as is." Nello makes no guarantees about the volume of ad spend, length of time content will run, the duration of the focused product window, or total compensation a Creator will earn. Earnings vary widely and depend on creative performance, business needs, and factors outside Nello's control.

12. Limitation of Liability

To the maximum extent permitted by law, Nello's total aggregate liability to any Creator under these Terms is limited to the amount of unpaid earnings owed to that Creator at the time the claim arose. Nello is not liable for indirect, incidental, consequential, or punitive damages.

13. Changes to These Terms

Nello may update these Terms at any time. Material changes will be communicated via email or through the Trybe platform. Continued participation after notice of changes constitutes acceptance. If you don't agree to updated Terms, your remedy is to stop participating.

14. Governing Law & Disputes

These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict of law provisions. Any dispute will be resolved in the state or federal courts located in Nevada, and both parties consent to that jurisdiction.

15. Entire Agreement

These Terms, together with the Trybe platform terms of service and any written brief or addendum from Nello, constitute the entire agreement between you and Nello regarding the VIP Program and supersede all prior agreements regarding the VIP tier.
